Terms of Use

These Terms of Use (“Terms”) govern access to and use of the Red Panda tutor app, the Red Guardian parent control application, related websites, and associated services (collectively, the “Services”) provided by Kumatomo Limited, Hong Kong (“Kumatomo,” “Company,” “we,” “us,” or “our”).

By accessing or using the Services, creating an account, linking a child profile, subscribing, or authorizing a child to use the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. THE SERVICES

Red Panda is an AI-supported tutoring and learning application designed to assist students with educational activities such as:

  • homework help;
  • subject tutoring;
  • reading practice;
  • exam preparation;
  • guided explanations and study support.

Red Guardian is a companion parent-facing application that enables parents or legal guardians to manage settings, supervise account use, and review selected information connected to a linked child account.

Certain school-linked services, dashboards, or educational programs may also be made available from time to time.

2. ELIGIBILITY AND AUTHORIZATION

The Services are intended to be used only with appropriate parent, guardian, school, or other lawful authorization where required.

If you are a parent or legal guardian, you represent and warrant that:

  • you are authorized to create, manage, or approve the child account;
  • you have authority to consent to the child’s use of the Services where required by law;
  • you have reviewed these Terms and the Privacy Policy;
  • you are responsible for supervising the child’s use of the Services as appropriate.

If a school or educational institution uses or links the Services, the school is responsible for ensuring that it has the necessary authorization, notices, or permissions required under applicable law or school policy.

3. ACCOUNT REGISTRATION AND SECURITY

Users may be required to create an account or link accounts in order to use certain features.

You agree to:

  • provide accurate and up-to-date account information;
  • maintain the confidentiality of your login credentials;
  • notify us promptly of unauthorized use or a security issue;
  • use the Services only for lawful and authorized purposes.

You are responsible for activity that occurs under your account or linked child account, except to the extent caused by our failure to implement reasonable security measures.

4. SUBSCRIPTIONS, BILLING, AND RENEWAL

Certain parts of the Services may require a paid subscription.

Subscriptions may be purchased through the Apple App Store, Google Play, or other authorized channels. Where purchased through an app store, billing, renewals, cancellations, and refund handling may be governed by that platform’s rules and policies in addition to these Terms.

We may change pricing, plans, features, or subscription structures from time to time, subject to applicable law and platform rules.

5. AI-ASSISTED FEATURES

The Services use AI-assisted and automated systems to generate explanations, tutoring responses, reading feedback, study guidance, summaries, recommendations, and related outputs.

By using the Services, you acknowledge and agree that:

  • AI-generated responses may sometimes be incomplete, inaccurate, inappropriate, delayed, or unavailable;
  • the Services are intended as educational support tools and not as a substitute for teachers, parents, professional tutors, or independent judgment;
  • users should exercise judgment and, where appropriate, verify important educational content.

We do not guarantee that every output will be correct, complete, or suitable for every purpose.

6. EDUCATIONAL PURPOSE ONLY

The Services are intended to support education and learning. They are not intended to provide legal advice, medical advice, mental health treatment, diagnosis, or emergency services.

If a user appears to face a serious or urgent issue, appropriate adult, educational, legal, medical, or emergency support should be sought as necessary.

7. USER CONTENT AND INPUTS

Users may submit text, spoken inputs, uploaded images, homework materials, notes, and related content (“User Content”) through the Services.

You represent and warrant that you have the necessary rights and permissions to submit User Content and that your User Content does not violate applicable law or the rights of others.

You retain any rights you may have in User Content, subject to the license granted below.

8. LICENSE TO USE USER CONTENT

To operate the Services, you grant Kumatomo Limited a non-exclusive, worldwide, royalty-free license to host, store, reproduce, process, adapt, analyze, display, and use User Content and derived data solely for purposes including:

  • providing the Services;
  • generating tutoring outputs;
  • maintaining session continuity;
  • supporting parent oversight;
  • safety review;
  • customer support;
  • quality assurance;
  • service maintenance;
  • debugging;
  • analytics;
  • improving, testing, and developing the Services and AI-assisted features, subject to applicable law and the Privacy Policy.

This license continues for as long as reasonably necessary for the purposes described above and in the Privacy Policy.

9. PARENT CONTROL AND OVERSIGHT

If a child account is linked to Red Guardian, the parent or legal guardian acknowledges and agrees that selected information about the child’s use of the Services may be made available to the parent or guardian, including selected summaries, progress indicators, alerts, settings, and related information.

Parents understand that:

  • not all internal system data or raw data must necessarily be shown;
  • the scope of information displayed may change as the product evolves;
  • use of Red Guardian is part of the overall service structure accepted under these Terms.

10. SCHOOL-LINKED SERVICES

If an account is linked to a school, class, educational dashboard, or school-authorized program, the parent, guardian, or authorized user acknowledges that limited information may be disclosed to the school.

In general, school access is intended to be limited, aggregated, statistical, and educational in nature. However, individualized disclosure may occur where Kumatomo reasonably determines that:

  • there is a serious safety concern;
  • there is a substantial educational concern;
  • there may be a significant learning difficulty or similar issue that may require follow-up;
  • disclosure is required by law;
  • disclosure has otherwise been authorized.

Users acknowledge and accept this limited school-related disclosure framework as part of the Services.

11. ACCEPTABLE USE

You agree not to:

  • use the Services for unlawful, harmful, fraudulent, or abusive purposes;
  • upload content that is illegal, infringing, harassing, hateful, sexually exploitative, or otherwise inappropriate;
  • interfere with or disrupt the Services or related systems;
  • attempt to gain unauthorized access to systems, accounts, or data;
  • reverse engineer, decompile, scrape, or misuse the Services except as permitted by law;
  • use the Services to create competing services through unauthorized extraction or automated harvesting;
  • misrepresent identity, age, authority, or school relationship.

We reserve the right to suspend, restrict, or terminate access where we reasonably believe misuse, legal risk, or safety risk exists.

12. PRIVACY

Your use of the Services is also governed by our Privacy Policy. By using the Services, you acknowledge that we may collect, use, store, and disclose information as described in the Privacy Policy.

13. DEVICE PERMISSIONS

Certain features may require access to device resources such as the microphone, camera, or photo library. Users may control such permissions through device settings, but disabling permissions may limit functionality.

14. INTELLECTUAL PROPERTY

The Services, including software, interfaces, branding, content created by Kumatomo, and all related intellectual property rights, are owned by or licensed to Kumatomo Limited and are protected by applicable law.

Except as expressly allowed in these Terms, no part of the Services may be copied, modified, distributed, sold, licensed, or exploited without prior written permission.

15. FEEDBACK

If you submit feedback, suggestions, or ideas about the Services, you grant Kumatomo Limited the right to use them without restriction or compensation, unless otherwise required by law.

16. DISCLAIMER OF WARRANTIES

To the maximum extent permitted by law, the Services are provided “as is” and “as available,” without warranties of any kind, express or implied.

We do not warrant that:

  • the Services will always be available, uninterrupted, secure, or error-free;
  • all outputs will be accurate or suitable;
  • all defects will be corrected;
  • the Services will meet every user’s expectations or needs.

17. LIMITATION OF LIABILITY

To the fullest extent permitted by law, Kumatomo Limited and its affiliates, officers, directors, employees, contractors, and licensors will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for any loss of data, profits, goodwill, or opportunities arising out of or related to the use of the Services.

To the extent liability cannot be excluded, our total liability will be limited to the amount paid by the user to Kumatomo for the applicable Service during the twelve months preceding the event giving rise to the claim, or the minimum amount permitted by law if greater.

18. INDEMNITY

You agree to indemnify and hold harmless Kumatomo Limited, its affiliates, officers, employees, contractors, and licensors from claims, liabilities, damages, losses, and expenses arising out of:

  • your misuse of the Services;
  • your violation of these Terms;
  • your infringement of another person’s rights;
  • unauthorized or unlawful User Content submitted through your account.

19. TERMINATION

We may suspend or terminate access to the Services, in whole or in part, at any time if:

  • you violate these Terms;
  • we reasonably believe there is misuse, fraud, or a safety issue;
  • required by law or platform policy;
  • the Services are changed, discontinued, or no longer offered.

You may stop using the Services at any time. Where account deletion is available, users should follow the in-app deletion path or contact support.

20. CHANGES TO THE SERVICES OR TERMS

We may modify the Services, features, pricing, these Terms, or related policies from time to time.

If changes are material, we may provide notice through the app, website, email, or another reasonable method. Continued use after the effective date of revised Terms constitutes acceptance of the revised Terms.

21. GOVERNING LAW

These Terms are governed by the laws applicable in Hong Kong, without regard to conflict-of-law principles, except where mandatory consumer protection laws apply in the user’s jurisdiction and cannot be excluded.
